TITLE I : Designation, Purpose, Headquarter, Duration, and Team

Article 1 : Designation

An Association, registered as a non-profit organisation in conformance with the French law of July 1st 1901, has been established by those subscribing to the present statutes.

This Association is called :

Maison des Elèves SudParis (MAISEL SudParis)
named below : the Association

Article 2 : Purpose

The purpose of this Association is to ensure the welcoming of the students of TELECOM Ecole de Management (TEM) & TELECOM SudParis (TSP) on premise for which it is responsible, and, for most of the students, an accommodation on TEM & TSP campus or nearby. It provides the students with moral and material support to ensure that their educational experience takes place in the best possible conditions. The Association is also set up to contribute to the enhancement of TEM & TSP’s reputation.

The responsibility of the TELECOM Institute is not involved by the management of the MAISEL SudParis.

Every member of the Association has to subscribe individually to a “Charter of Operation”. This Charter makes up, along with the present statutes, a “Social Agreement” through which the members of the MAISEL SudParis can consult each other and pursue the Association’s purposes and perpetuate its activities within the framework of the laws applying to them.

Article 3 : Principle of non-religious affiliation

With the sole aim of preserving the secular nature of its activities and the complete independence of its cultural and educational projects, the Association forbids its members and any third party from engaging any public organised debate on any subject related to politics, labor unions or religion.

This restriction doesn’t apply to organised private meetings, having received the authorisation of the Office (“Bureau”), and held within the Maisel, in specifically designated rooms.
As well exempted from this restriction is the electoral campaign for the election of members of the Bureau des Elèves (“Students Board”).

Article 4 : Headquarters

The Association’s Headquarters are on the premises of TEM & TSP in Evry. Its transfer can be decided by simply decree from the Conseil d’Administration.

Article 5 : Duration

The Association has been created for an unlimited duration. Its end will only be effective on the day of its dissolution under the conditions given hereinafter in Title IV.

Article 6 : Team

The Association is made up of :

a)Honorary Member :

Members of honour are those who have rendered services to the Association

This “title” is conferred by the general assembly upon the nomination by the Conseil d’Administration.
The nomination is approved upon receiving the majority vote.

b)Donating members :

These members, without necessarily intervening directly in the Association, support the Association through financial donations or specific aids.

The title is acquired upon receiving the majority vote of the general assembly.

The decision is voted upon request by the Conseil d’Administration.

c)Entitled members :

The following persons are entitled members either because they belong to the managerial staff of the INT and hence contribute their knowledge, or are the students’ direct representatives :

  • the Executive Director of TEM & TSP
  • 6 persons appointed by the Director : one representative from TEM, one representative from TSP, one representative from the International Programs Office and their substitutes
  • one representative from TELECOM & MANAGEMENT ALUMNI association appointed by the Office of this association
  • the President of the Bureau des Elèves (“Students Board”), under the condition that he subscribes to the Charter of Operation, or, failing that, the Vice-President of the Bureau des Elèves, under the same condition.

Each Entitled Member will have the possibility of appointing someone to act as his/her representative in the Association.

d) Active members :

Are declared active members those who have a specific attachment to TEM & TSP (except in the case of a dispensation given by the Conseil d’Administration), and who, having paid a membership fee in conformity with the Charter Operation of the Maisel, voluntarily take part in the extra-curricula activities or receive welcoming as well as the material and moral aid of the Maisel.

This concerns in particular TEM & TSP students and is limited to the duration of their education at TEM & TSP.

Active membership is acquired through the adhesion to the Charter of Operation and after the agreement of the Conseil d’Administration or of the Bureau which acts on the authority of the Conseil d’Administration.

Article 7 : Loss of membership status

The specific membership status can be lost in the following cases :

  • resignation
  • removal from the list of “members of right”, pronounced by the Conseil d’Administration, notably when his/her position at INT is no longer being held or on serious disciplinary grounds following a hearing of the individual concerned.
  • Removal from membership by the Conseil d’Administration for non-payment of his/her annual membership fees or in the case of serious non-respect of the obligations incumbent on the active members as given in the Charter of Operation of the Maisel.

TITLE II : Administration and operating rules

Article 8 : The Conseil d’Administration

The Association is supervised by an Executive Committee called “Conseil d’Administration” made up of 15 members having all their civil rights regardless of their nationality.

a. Among the entitled members :

  • the Executive Director of TEM & TSP
  • 6 persons appointed by the Director : one representative from TEM, one representative from TSP, one representative from the International Programs Office and their substitutes
  • one representative from TELECOM & MANAGEMENT ALUMNI association appointed by the Office of this association
  • the President of the Bureau des Elèves (“Students Board”), under the condition that he subscribes to the Charter of Operation, or, failing that, the Vice-President of the Bureau des Elèves, under the same condition.

b. Among the Active members :
With the exception of the President of the Bureau des Elèves, directly elected by TEM & TSP students, the Conseil d’Administration is made up of 6 representatives elected among the students, signatory members of the Charter of Operation of the Maisel and having payment of their membership fees up to date.

Article 9 : Students’election at the Conseil

Three student administrators are elected every year for a two-year non-renewable term.

The Association President is in charge of the organisation of the elections. He determines the date and time for the vote, records the various candidacies and put all the necessary electoral material, including the ballot papers with the candidates’names on each of them, at the voters’disposal.

The President appoints, from among the members of the Maisel, the persons to be in charge of the control and monitoring at the polling booths during the elections, the counting of both the voters and the votes and the declaration of election results.

The electoral list is established and posted by the President, or his/her representative. Those on the list are the only ones allowed to put themselves forward as candidates.

Candidacies, free to be declared by any student, are accepted if they are registered at the President’s office or with his/her representative’s at the latest 8 days before the beginning of the elections. The list of candidates will then be posted.

The elections are based on a single round of voting by secret ballot. The winner is the candidate having obtained the majority of votes. Each incumbent has the possibility of putting forward at the very most two backup candidates.

Incorrectly filled out or blank ballots will not be taken into consideration.

The three candidates who have received the majority of votes are declared elected.

In case of a candidate’s resignation or removal, the first substitute is assigned to replace him/her to take up his/her functions, failing that, the second substitute is nominated.

Article 10 : Representation

If a member of the Conseil d’Administration is unable to fulfil his functions, he can assign another member to represent him.
A member of the Conseil d’Administration is only allowed to vote by proxy for two other representatives.

The substitute of an executive member can neither delegate his power nor receive any additional power or be in charge of another delegation at the same time.

The Conseil d’Administration convenes a meeting as soon as possible upon the Director of TEM & TSP’s request and appoints, from those on the Conseil, the Association’s President.
The President is appointed for a three-year term, except in the case of resignation or dismissal.

Article 11 : How the Conseil d’Administration operates

The Conseil d’Administration convenes a meeting upon its President’s notification or upon the request of its President or upon the request of at least one-third of all its members. The notification has to be made within a certain delay.

In order to be able to pass a resolution, the Conseil d’Administration must have at least one half of its members present or satisfactorily represented.

Decisions of the Conseil d’Administration are adopted upon receiving a majority of the votes of members present or satisfactorily represented. In the case of a tie, the President will have the casting vote.

Voluntary members of the Conseil are not allowed to receive any compensation for services carried out within their role as executive directors. The only exception is the reimbursement of expenses incurred for the Association. These will be reimbursed upon presentation of the pertinent invoices.

Throughout the year, an appointed member of the Conseil d’Administration is in charge of the “Secrétariat”. To fulfill his/her functions, the Committee Secretary has administrative facilities at his/her disposal.

Article 12 : Powers of the Executive Committee

The Executive Committee has full powers to deal with the management of the Association’s activities, of its staff as well as its property, its facilities and the diverse equipment at the Maisel’s disposal.

Only the Executive Committee has the power to take out a loan for the Association and, if need be, the Executive Committee allows the President to dispose of the Association’s property as necessary.

The Executive Committee sets the membership fees before the beginning of each school year. The fees are set based on the activities selected to be carried out by the active members.

The Executive Committee has the power to modify the Charter of Operation, upon the Association President’s request, to adapt it to the students’needs or to deal with new situations.

The decisions taken by the President and by the “Bureau de l’Association” are regularly supervised by the Executive Committee.

Article 13 : The Association President

The Executive Committee appoints a President from among the honorary members appointed by the Executive Director of TEM & TSP. As the Entitled President of the Association, he/she must assume the entire management responsibility of the Maisel for the duration of his/her term, except in the case of resignation or dismissal from office.
To do so, all the administrative and financial facilities of the Association are at his/her disposal.

The President cannot contract on the Association’s behalf without first receiving the Executive Committee’s consent.

Under the supervision of the Executive Committee, the President delegates part or all of his allocations to the Bureau. The Bureau must then keep the President informed of its activities and decisions.

The Executive Committee President is the only one allowed, with the Executive Committee’s consent, to institute legal proceeding on behalf of the Association to preserve its interests under any jurisdiction.

Article 14 : President’s substitution

If the President is temporarily unable to carry out his/her functions, he/she is replaced upon the decision of the Executive Committee, convened for an emergency session by the appointed Secretary. The Executive Director of the TEM & TSP appoints one of the members to act as a replacement.

While awaiting Committee’s decision, the Bureau is in charge of every day running of the Association.

Article 15 : Association Bureau

In order to look after, from day to day, the correct running of the activities of the MAISEL SudParis, the Association President delegates all or part of his powers in the domains of organisation and management to an “Office”. This body is permanently required to inform the Director of its projects and the carrying out of his/her decisions.

The Director of the Maisel is an executive member of the Association Office.

At the beginning of each year, the Executive Committee appoints from among its members the other members of the “Bureau”. In addition to the President there are :
• 2 Vice-Presidents
• 1 Secretary and, if needed, a Deputy Secretary
• 1 Financial Manager and, if needed, a Deputy Financial Manager

Made up of at least six members, the “Bureau” votes with the majority carrying the vote, the President has the casting vote.

Article 16 : Operating rules of the “Bureau de l’Association”

The “Bureau” convenes a meeting on the request of its President, one of its Vice-President or the Director of the Maisel.

The decisions are ratified upon receiving the majority of the votes, in case of a tie the President has the casting vote.

Article 17 : Annual general meeting

The annual general meeting, made up of all the members of the Association, meets during the second semester of
every year.

The President informs members of the date and time of the meeting at least two weeks in advance. The agenda is given on the notifications.

The Association President, assisted by the members of the Bureau, in the presence of the Executive Committee, chairs the session and presents the moral and material situation of the association.

The financial manager presents the management activities and submits the accounting results for the assembly’s approval.

The agenda must be strictly followed, no question not set forth in the agenda will be considered by the meeting.

The meeting is only able to deal with a matter satisfactorily if the President or a person assigned by him/her to that specific effect is present.

Article 18 : Extraordinary general meeting

An extraordinary general meeting can be convened at any time to deal with a detailed set agenda, on the President’s demand or upon the request of at least ¾ of the members of the Association.

This extraordinary general meeting discusses and debates under the same rules as the annual general meeting.

Article 19 : Financial commitments

The financial transactions are made under the President’s and the financial manager’s responsibility.

Their signature is required for any payment exceeding a certain amount. This amount is set each year by the Executive Committee.

At the end of his/her term, the financial manager writes a financial report detailing all the property of the Association, into a broken down balance sheet, a book inventory, an operational costs account and a loss and profit account.

The account agent’s mission is to supervise the legality and validity of the accounting entries. To make his/her mission easier, he/she can ask to be provided with all the accounting papers.

Article 20 : Auditing

Certified public accountant, registered with the Government Auditor Company, assures the supervision of the accounts. He/she is appointed by the Executive Committee.

Article 21 : The role of the Director of the Maisel

Under both the responsibility and the control of the President and the Bureau, the director of the Maisel is in charge of the daily management of both the Association and the staff. His functions are registered in his contract of employment.

He is not allowed to hire or to fire an employee without first receiving the approval of the “Bureau de l’Association”.

The Director is hired upon the President’s suggestion and then, his/her nomination is approved by the Executive Committee.
The Executive Committee is the only body authorised to remove the Director from his/her office.

TITLE III : Financial means of the Association

Article 22 : Resources

The resources of the Association are made up of :

  • subsidies provided by external organisations
  • membership fees paid by members of the Association
  • if need be and under conditions stipulated by the law, donations, bequests and financial products

As far as the membership fees paid by the active members are concerned, it is acknowledged that the amount given varies from one member to another one. Indeed, according to a common rule, the determined amount depends both on the voluntary use of the means at the concerned person’s disposal (the active members in particular) and its duration.

TITLE IV : Modification of articles and dissolution

Article 23 : Modification of articles

The general meeting can modify the Association’s articles upon the request of the Executive Committee. In that case, the suggestions concerning any modifications are part of the next general meeting agenda convened by the President.

To be able to deal with modifications of articles satisfactorily, at least one half of its members must be present at the meeting.

If this proportion is not achieved, a second meeting is convened by the President, after a minimum delay of two weeks. This time, the general meeting is able to deliberate satisfactorily regardless of the number of members present or represented.

Article 24 : Dissolution

Only an extraordinary general meeting, especially convened for this purpose, can declare the dissolution of the Association.

Article 25 : Dissolution commissioner

To deal with a meeting for the purpose of dissolution, the extraordinary general assembly appoints, upon the President’s suggestion, one (or more) commissioner(s) in charge of the asset liquidation of the Association.

Article 26 : Asset liquidation allotment

The extraordinary general assembly determines the distribution of membership fees, if there is one, to one or more association(s) having the same social aim.
